1Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Andronest ("Company," "we," "us," or "our"), a company registered and operating in Dubai, United Arab Emirates.

Corporate relationship: Andronest is a subsidiary of AwsQuality Technologies Private Limited ("AwsQuality"). Unless a separate written agreement with you expressly identifies another entity as your contracting party, "Company," "we," "us," and "our" refer to Andronest; references to our group or affiliates may include AwsQuality and its related entities where applicable.

By accessing our website at andronest.com, using our services, or engaging with us in any business capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

4User Responsibilities

4.1 Acceptable Use

You agree to:

• Provide accurate and complete information when required
• Maintain the confidentiality of your account credentials
• Use our Services only for lawful purposes
• Comply with all applicable UAE laws and regulations
• Respect intellectual property rights

4.2 Prohibited Activities

You must not:

• Use our Services for any illegal or unauthorized purpose
• Attempt to gain unauthorized access to our systems
• Transmit viruses, malware, or harmful code
• Interfere with or disrupt our Services or servers
• Collect user data without consent
• Use automated systems to access our Services without permission
• Impersonate others or misrepresent your affiliation
• Violate UAE laws, including cybercrime regulations

5Intellectual Property Rights

5.1 Our Intellectual Property

All content, features, and functionality of our website and Services, including but not limited to text, graphics, logos, icons, images, audio clips, software, and the compilation thereof, are owned by Andronest or its licensors and are protected by UAE intellectual property laws, international copyright, trademark, and other intellectual property laws.

5.2 Limited License

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website and Services for your personal or internal business purposes, subject to these Terms.

5.3 Work Product

Unless otherwise specified in a separate service agreement:

• Custom deliverables created for you become your property upon full payment
• We retain rights to underlying tools, methodologies, and pre-existing materials
• We may use general knowledge gained during projects for other clients

6Payment Terms

6.1 Fees

• Fees for our Services are specified in individual service agreements or proposals
• All fees are quoted in AED or USD unless otherwise specified
• Fees are exclusive of applicable VAT (5% in UAE) unless stated otherwise

6.2 Payment Schedule

• Payment terms are as specified in the service agreement
• Standard terms are Net 30 days from invoice date
• Project-based work may require milestone payments

6.3 Late Payment

Late payments may incur interest at 1.5% per month or the maximum rate permitted by UAE law, whichever is lower. We reserve the right to suspend Services for overdue accounts.

7Confidentiality

Both parties agree to maintain the confidentiality of Confidential Information disclosed during the course of our business relationship:

• Use Confidential Information only for the intended purpose
• Protect Confidential Information with reasonable care
• Not disclose to third parties without prior written consent
• Return or destroy Confidential Information upon request

Confidentiality obligations survive termination of Services for a period of 3 years.

You agree to indemnify, defend, and hold harmless Andronest, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our Services
• Your violation of these Terms
• Your violation of any rights of a third party
• Your User Content

11Termination

11.1 Termination by You

You may stop using our Services at any time. For contracted Services, termination terms are specified in the service agreement.

11.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, if:

• You breach these Terms
• You fail to pay for Services
• Required by law or regulation
• We discontinue the Services

11.3 Effect of Termination

Upon termination, your right to use our Services ceases immediately. Provisions that by their nature should survive termination shall remain in effect.

12Governing Law & Dispute Resolution

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United Arab Emirates and the Emirate of Dubai, without regard to conflict of law principles.

12.2 Dispute Resolution

Any dispute arising from these Terms shall be resolved as follows:

1. Negotiation: Parties shall first attempt to resolve disputes through good-faith negotiation
2. Mediation: If negotiation fails, parties agree to mediation under DIFC-LCIA rules
3. Arbitration: If mediation fails, disputes shall be resolved by binding arbitration in Dubai

12.3 Jurisdiction

The courts of Dubai, UAE shall have exclusive jurisdiction for any matters not subject to arbitration.

13General Provisions

14Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective upon posting to our website. For material changes, we will provide notice via email or prominent website notice at least 30 days before the changes take effect. Your continued use of our Services after changes constitutes acceptance of the modified Terms.
